These Standard Terms and Conditions for Services ("Terms") outline the agreement between Veriland Consulting Ltd ("Veriland", "we", "us", or "our") and the Client ("you", or "your"). By engaging Veriland for services, you agree to these Terms.
Veriland Consulting will provide Microsoft Dynamics 365, Azure Ecosystem, and related consulting services as outlined in the Statement of Work (SOW) or proposal provided to the Client. The specific deliverables, timelines, and scope will be governed by individual SOWs, which reference these generic Terms.
Invoices will be submitted according to the schedule defined in the SOW. Payment is due strictly within the timeframe specified on the invoice (typically 30 days from the date of invoice), unless agreed otherwise. Late payments may incur interest charges in accordance with late payment legislation.
Both parties agree to hold in strict confidence any proprietary or confidential information disclosed during the engagement. This obligation survives the termination of any contract between Veriland and the Client.
Unless otherwise specified in a specific Statement of Work, Veriland retains the intellectual property rights to any pre-existing code, methodologies, or frameworks used in delivering the services. The Client is granted a non-exclusive, non-transferable license to use the customized deliverables strictly for their internal business operations upon full payment.
Veriland Consulting's aggregate liability for any direct damages arising out of or related to these services shall not exceed the total amount paid by the Client to Veriland under the specific SOW from which the claim arises. Veriland is not liable for indirect, incidental, or consequential damages.
Either party may terminate the agreement for convenience with the required written notice as specified in the specific consulting contract. In the event of early termination, the Client shall pay Veriland for all services rendered and expenses incurred up to the date of termination.
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute.
